Agreement to these terms
These Terms of Service (the “Terms”) are an agreement between you and Company legal name (“Ciao,” “we,” “us,” or “our”). They govern your access to and use of our websites, hosted product experiences, software, and related services (collectively, the “Service”).
By accessing or using the Service, you agree to these Terms. If you use the Service for a company or other organization, you represent that you have authority to bind it, and “you” includes that organization. If you do not agree, do not use the Service.
Eligibility and authority
You must be at least 18 years old and legally able to enter into a contract to use the Service. You may use the Service only in compliance with applicable law and any agreement between Ciao and the organization that provided your access.
The service
Ciao provides AI-assisted product experts that can explain and operate approved workflows in live product environments. Features may include voice interactions, product demos, onboarding, implementation guidance, training materials, cloud-browser sessions, and connected third-party services.
We may improve, modify, suspend, or discontinue parts of the Service. We will use commercially reasonable efforts to provide notice of material changes when practicable. Preview, beta, or evaluation features may be changed or withdrawn at any time.
Accounts and access
You are responsible for the accuracy of information associated with your account, for keeping credentials secure, and for activity under your account. You must promptly notify us of suspected unauthorized access.
Administrators may manage access, configure workflows, provide instructions, and control customer content for their organization. If your account is managed by an organization, that organization may access and control the account and related data.
Customer content and permissions
You retain ownership of content you submit to the Service, including product materials, recordings, guides, workflow instructions, and feedback other than general product feedback (“Customer Content”).
You grant Ciao a non-exclusive, worldwide, limited license to host, copy, process, transmit, display, and otherwise use Customer Content only as needed to provide, secure, support, and improve the Service and as otherwise permitted by your agreement with us. You represent that you have all rights and permissions needed for Ciao to process Customer Content and operate the environments you connect.
AI-assisted output and actions
The Service uses artificial intelligence and may generate explanations, recommendations, transcripts, or actions (“Output”). Output may be incomplete, incorrect, or not unique. You are responsible for evaluating Output and for applying appropriate human review before relying on it.
You are responsible for defining the actions Ciao is allowed to perform, testing those actions in suitable environments, maintaining backups and recovery controls, and avoiding use in contexts where an error could cause material harm without meaningful human review.
Acceptable use
You may not use the Service to:
- Break the law, violate another person’s rights, or facilitate fraud or deception.
- Access systems, accounts, or data without authorization, or exceed the permissions granted by a system owner.
- Introduce malicious code; disrupt, overload, or evade safeguards; or probe the Service for vulnerabilities without written permission.
- Reverse engineer or copy the Service except where that restriction is prohibited by law.
- Use the Service for fully automated decisions about employment, housing, credit, insurance, health care, legal services, or other high-impact matters without required notices, safeguards, and meaningful human review.
- Submit personal information, confidential data, or regulated content unless you are authorized to do so and the applicable order or agreement permits it.
We may suspend or restrict access where we reasonably believe this section was violated.
Third-party services
The Service may interoperate with third-party products, models, browsers, identity providers, or other services. Your use of those services may be governed by separate terms and privacy policies. Ciao is not responsible for third-party services that it does not control, but we remain responsible for our own obligations to you.
Fees and payment
If you purchase paid access, fees, billing terms, usage limits, and renewal terms will be stated in an order form or other written agreement. Unless that agreement says otherwise, fees are non-refundable except where required by law, and taxes are your responsibility. If an order form conflicts with these Terms, the order form controls for that purchase.
Confidentiality
Each party may receive non-public information that is marked confidential or should reasonably be understood as confidential. The receiving party will use it only to perform under the parties’ agreement, protect it using reasonable care, and disclose it only to people who need it and are bound by confidentiality obligations. This section does not cover information that becomes public through no fault of the receiving party, was already lawfully known, is independently developed, or is lawfully received without restriction.
Ownership and feedback
Ciao and its licensors own the Service, including its software, design, documentation, and related intellectual property. These Terms do not transfer ownership of the Service or Customer Content.
If you provide suggestions or general feedback, you allow us to use it without restriction or compensation, provided we do not publicly identify you as the source without permission.
Term, suspension, and termination
These Terms continue while you use the Service. You may stop using the Service at any time. We may suspend or terminate access if you materially breach these Terms, create a security or legal risk, fail to pay amounts due, or if an agreement authorizing your access ends.
After termination, your right to use the Service ends. Provisions that by their nature should survive—including ownership, confidentiality, disclaimers, limits of liability, indemnity, and dispute terms—will survive.
Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available.” Ciao disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Service or Output will be uninterrupted, error-free, or meet every requirement. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or goodwill, arising from the Service, even if advised that those damages were possible.
Except for liabilities that cannot legally be limited and any different cap stated in an order form, each party’s total liability arising from the Service will not exceed the amounts paid or payable to Ciao for the Service during the 12 months before the event giving rise to the claim. This allocation is an essential part of the parties’ agreement.
Indemnity
You will defend and indemnify Ciao and its affiliates, officers, employees, and agents from third-party claims arising from your Customer Content, your use of the Service in violation of these Terms, or your violation of another party’s rights. We will provide prompt notice and reasonable cooperation and will allow you to control the defense, subject to our right to participate with counsel of our choice.
Governing law and disputes
These Terms are governed by the laws of State or country, without regard to conflict-of-law rules. The state and federal courts located in County and state, or other venue will have exclusive jurisdiction, and each party consents to personal jurisdiction there. Confirm whether you want court, arbitration, or another dispute process before publishing.
Changes to these terms
We may update these Terms from time to time. We will post the updated version, revise the “Last updated” date, and provide additional notice of material changes where required. Your continued use of the Service after an update takes effect means you accept the updated Terms, unless applicable law requires another form of consent.
